E.S. Originals Inc. ("E.S. Originals") has announced the sale of its ESNY division to Totes Isotoner Corporation ("Totes Isotoner"), a portfolio company of the New York-based buyout firm of Bruckmann, Rosser, Sherrill & Co. LLC. The investment banking group of Carl Marks Advisory Group LLC ("Carl Marks") advised E.S. Originals in connection with the transaction. Terms of the sale were not disclosed. The transaction was financed by a $145 million senior secured financing comprised of a $65 million asset-based senior secured revolving credit facility and an $80 million senior secured term loan facility arranged by GE Capital.

E.S. Originals is a 50-year-old New York City-based designer, importer, wholesaler and marketer of value-priced footwear. ESNY, which was formed in 2000, provides both branded and private label junior women's footwear to leading department stores across the nation. ESNY achieved extraordinary growth and profitability through high quality products, consistent high gross margin generation for retailers and its long-term relationships with department stores.

Totes Isotoner is a leading designer and distributor of branded umbrellas, gloves, hats, scarves, rubber footwear and slippers, including the highly recognizable brands Totes®, Isotoner® and Raines®. The company also operates a network of 107 retail outlet stores to sell its own products as well as sunglasses, luggage and other branded products.
